Terms of service
Effective date: August 25, 2026
These Terms govern your use of CollabGlam. They cover how accounts work, what brands and creators commit to, and how escrow payments, content rights, indemnification and disputes are handled. Please read them carefully — they are a binding contract.
1. Acceptance of terms
These terms of service (the "Terms") are a binding agreement between you and CollabGlam LLC ("CollabGlam", "we", "us" or "our") governing your access to and use of the CollabGlam platform, website, applications, APIs, email relay and related services (collectively, the "Service"). By creating an account, checking an acceptance box, signing in or otherwise accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by the policies they incorporate by reference: our Privacy Policy, Cookie Policy, Acceptable Use Policy, Returns and Refunds Policy and Shipping and Delivery Policy, each as published on the Service.
If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity and every individual acting on its behalf. If you do not agree to these Terms, you must not access or use the Service.
We record the date, time, version, IP address and account under which these Terms are accepted, and that record constitutes evidence of your agreement.
2. Definitions
- Brand — a user or entity that creates campaigns and engages creators through the Service.
- Creator — a user who produces content and offers collaboration services to brands through the Service.
- Campaign — a project published by a brand describing objectives, deliverables, budget and requirements for a collaboration.
- Collaboration — an active engagement between a brand and a creator arising from a campaign invitation or application.
- Contract — the agreement formed between a brand and a creator for a specific collaboration, signed by both parties through the Service.
- Deliverable — content or other work product a creator agrees to produce under a contract.
- Escrow — funds a brand commits to a milestone that are held by CollabGlam and released to the creator only upon the brand's approval of the delivered work or resolution of a dispute.
- Milestone — a defined unit of work within a collaboration with an agreed amount, funded into escrow before work is delivered.
- Platform Data — statistics, scores, estimates, reports and other data presented on the Service, whether measured from public sources, verified through a creator's connected account or computed by us.
- User Content — any content, information or material you submit to the Service, including profiles, campaign briefs, messages, files and deliverables.
3. Eligibility, accounts and authentication
You must be at least 18 years old, able to form a legally binding contract, and not barred from using the Service under the laws of the United States or your own jurisdiction. You must provide accurate, current information and keep it updated. One person or entity may operate both a brand profile and a creator profile under the same email address.
Accounts are created and accessed with one-time passcodes sent to your email address; the Service does not use passwords. You are solely responsible for maintaining control of your email account and any device on which you remain signed in. All activity that occurs under a session initiated with a valid passcode sent to your email is attributed to you, whether or not you personally authorised it. Notify us immediately at help@collabglam.com if you believe your email or account has been compromised; until you do, everything done under the account remains your responsibility.
We may decline registration, limit features or require additional verification at our reasonable discretion, including where required for fraud prevention, sanctions compliance or payment-provider rules.
4. The marketplace and our role
CollabGlam is a neutral marketplace and software provider. Brands and creators contract with each other directly; CollabGlam provides the tools — discovery, messaging, contracts, escrow, data and payments infrastructure — through which they do so.
CollabGlam is not a party to any campaign, contract or collaboration between users. We are not an agency, employer, broker, guarantor, insurer or fiduciary of any user. We do not employ creators, we do not control or direct their work, and we do not act on behalf of brands. No agency, partnership, joint venture or employment relationship is created between you and CollabGlam, or between you and any other user, by these Terms or by use of the Service.
We do not vet, endorse or guarantee any user, campaign, deliverable or outcome. Any decision to engage another user is yours alone, made at your own risk on your own judgement. Nothing on the Service — including match scores, recommendations, verdicts or projections — is a promise of performance, reach, sales or return on investment.
5. Brand obligations
As a brand, you agree to:
- publish campaigns that are accurate, lawful and not misleading, including truthful budgets and requirements;
- fund milestones before requiring work to be delivered, and review submitted work within a reasonable time;
- approve milestones promptly when deliverables materially meet the agreed scope, and raise concerns through the Service rather than withholding approval without cause;
- comply with all advertising, consumer-protection and disclosure laws applicable to your campaigns, including the endorsement disclosure requirements of the U.S. Federal Trade Commission and the equivalent rules in every market you target;
- not request content or conduct that would violate the law, the Acceptable Use Policy or the rules of the platform where content will be published;
- conduct all payment for platform-originated collaborations through the Service and not circumvent escrow or platform fees;
- honour the usage rights, exclusivity terms and credit obligations set out in each signed contract.
6. Creator obligations
As a creator, you agree to:
- represent your audience, metrics and capabilities accurately, and not inflate followers, views or engagement through purchased engagement, bots, pods or any other artificial means;
- deliver work that conforms to the signed contract and the campaign's stated requirements, by the agreed dates, or communicate delays promptly through the Service;
- clearly and conspicuously disclose sponsored content as required by applicable law — including the FTC's endorsement guidelines — and by the rules of the platform where the content is published;
- submit only original work or work you are fully licensed to use, free of third-party claims, and secure any releases required from people appearing in your content;
- comply with the terms of service of the third-party platforms on which you publish;
- conduct all payment for platform-originated collaborations through the Service and not circumvent escrow or platform fees;
- be responsible for your own taxes, registrations, permits and social contributions as an independent business.
7. Campaigns, contracts and collaborations
A campaign brief, an invitation or an application is not itself a contract. A binding contract between a brand and a creator is formed when both parties sign the contract presented in the collaboration through the Service. The signed contract — including its scope, deliverables, usage rights, exclusivity, deadlines and milestone amounts — governs the collaboration; where the signed contract and a campaign brief conflict, the signed contract controls.
Each party is responsible for reviewing the contract before signing. CollabGlam provides contract tooling as a convenience; we do not draft, review or advise on contracts and are not responsible for their content, adequacy or enforceability. Electronic signatures made through the Service are intended to be legally binding to the fullest extent permitted by the U.S. E-SIGN Act and equivalent laws.
The Service records the collaboration history — messages, submissions, approvals and timestamps. Both parties agree that this record may be used in resolving disputes under these Terms.
8. Payments, escrow and fees
Milestone amounts are funded by the brand into escrow before work is delivered. The brand is charged exactly the milestone amount at the time of funding; no platform fee is added to that charge. Payments are processed by our third-party payment providers (including Stripe, and the payment methods they support such as cards, Alipay and WeChat Pay); by funding a milestone you also agree to the applicable provider's terms.
Escrowed funds are held for the benefit of the transaction and moved only as these Terms provide: released to the creator when the brand approves the delivered work, refunded to the brand where a milestone is cancelled or a dispute so resolves, or split as a dispute resolution determines. Escrowed funds are not our revenue, do not earn you interest, and may not be used as a balance for any other purpose.
A platform fee of 10% of the milestone amount is deducted from the amount released to the creator, and is payable by the creator. The fee rate applicable to a milestone is the rate in effect when that milestone is funded, and a later change to the rate does not apply to it. Where a milestone is refunded, the full amount funded by the brand is returned to the brand and no platform fee is retained.
Creator balances become available for payout once released from escrow. The minimum payout is $100.00; balances below the minimum accrue until it is reached. Payouts are made in US dollars through our payment providers to the payout details you supply, and you are responsible for their accuracy and for all taxes on amounts you receive. We may withhold or delay a payout where required by law, by a payment provider, or pending investigation of suspected fraud or a breach of these Terms.
You authorise us to correct obvious payment errors — double charges, misdirected releases, amounts credited in error — by reversing or re-issuing the affected entries, and we will notify you when we do.
9. Disputes between users
Either party may open a dispute on a funded milestone. CollabGlam will review the collaboration record — messages, contract and submitted deliverables — and resolve the dispute by releasing the escrowed amount to the creator, refunding the full funded amount to the brand, or a combination. We aim to review disputes within five business days.
Both parties agree that dispute decisions made by CollabGlam under this section are final and binding with respect to the escrowed funds, and each party releases CollabGlam from any claim arising out of a dispute decision made in good faith. This section does not prevent either user from pursuing the other user directly for claims beyond the escrowed amount; such claims are between the users alone.
Using a card chargeback in place of the dispute process for a milestone eligible for that process is a breach of these Terms, and we may suspend accounts that do so while the chargeback is contested with the collaboration record.
10. Subscriptions and billing
Subscription plans (Launch, Growth, Scale) bill monthly in advance and renew automatically until canceled. You may cancel at any time; cancellation and downgrades take effect at the end of the billing period already paid for, and you keep the plan's features until then. Except where required by law, subscription fees already paid are non-refundable; our Returns and Refunds Policy explains how billing errors are corrected.
We may change subscription pricing or plan features prospectively. Price changes take effect at your next renewal and will be notified to you in advance; continuing past the renewal constitutes acceptance of the new price.
11. Content and intellectual property
Creators retain ownership of the content they produce. Rights granted to a brand — such as usage duration, channels and exclusivity — are defined in the contract signed for each collaboration, and no broader license is implied by these Terms.
You grant CollabGlam a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display and transmit User Content solely as needed to operate, secure and improve the Service — for example, showing deliverables to the counterparty, relaying messages by email, generating previews and keeping backups. This license ends when the content is deleted from the Service, except for copies retained in routine backups or as required by law.
You represent and warrant that you own or are licensed to use everything you submit, and that your User Content does not infringe any third party's intellectual-property, privacy, publicity or other rights.
The CollabGlam name, logo, software, design and the Platform Data compilations we produce are the property of CollabGlam or its licensors, protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the Service as intended by these Terms; you may not copy, modify, reverse-engineer, resell or create derivative works from the Service except as the law expressly permits.
If you believe content on the Service infringes your copyright, notify us at help@collabglam.com with the material, its location and your rights; we respond to valid notices consistent with the DMCA, and repeat infringers' accounts are terminated.
12. Public creator pages and platform data
The Service indexes and presents publicly available information about creator channels — such as follower counts, view counts and engagement computed from public sources — including for creators who have not yet created an account. Such pages exist so that a creator's public track record can be discovered; they state that they are built from public data. A creator may claim their page by verifying ownership, or request corrections or removal of their unclaimed page by writing to help@collabglam.com.
Platform Data — including audience estimates, authenticity signals, match scores and projections — is provided for information only. Where figures are estimated rather than reported by a platform or verified through a connected account, they are labeled as estimates. Platform Data may be incomplete, delayed or wrong, and is not a representation, warranty or promise by CollabGlam. You are responsible for your own decisions made in reliance on it.
Creators may connect their platform accounts (for example, YouTube via Google OAuth) to verify audience data. Connections are read-only, revocable at any time, and governed by our Privacy Policy; disconnecting deletes the verified data as described there.
13. AI features
The Service includes features powered by artificial intelligence — including campaign drafting, creator matching, scoring and the Glam assistant. AI outputs are generated automatically, may be inaccurate or incomplete, and are provided for convenience and information only. They are not professional, legal, tax, financial or investment advice, and they are not promises of outcomes.
You are responsible for reviewing AI-generated content before relying on it or publishing it. Conversations with the Glam assistant are recorded and may be reviewed by our team to provide support and improve the Service, as described in the Privacy Policy.
14. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy, which is part of these Terms. In summary, and without limiting that policy, you may not:
- use the Service for unlawful, deceptive or fraudulent activity, including campaigns for prohibited products or fake engagement services;
- circumvent the Service to avoid escrow or fees for collaborations that originate on the platform, or solicit off-platform payment;
- misrepresent your identity, audience or authority, or operate duplicate accounts to evade limits or suspensions;
- scrape, harvest or bulk-export data from the Service except through features we provide;
- probe, disrupt, overload or attempt to gain unauthorised access to the Service, accounts or data that are not yours;
- harass or abuse other users, or upload content that is unlawful, infringing or malicious;
- use the Service to build or train a competing product or dataset.
Where this summary and the Acceptable Use Policy differ, the Acceptable Use Policy controls.
15. Third-party platforms and services
The Service interoperates with third-party platforms and providers — including YouTube, Instagram, TikTok, Google, Stripe, and email infrastructure. CollabGlam is not affiliated with, endorsed by or responsible for any of them. Your use of a third-party platform is governed by that platform's own terms, and you are responsible for complying with them, including when publishing sponsored content.
We are not responsible for the acts, omissions, availability, policies or data of third-party platforms, including changes they make that affect the Service — such as API changes, metric changes or the removal of content or accounts.
16. Suspension and termination
You may stop using the Service at any time and may request account closure by contacting help@collabglam.com.
We may suspend or terminate your access, restrict features, or remove content — temporarily or permanently, with or without notice — where we reasonably believe these Terms or the incorporated policies have been violated, where required by law or a payment provider, or where necessary to protect the Service, its users or third parties. Where practical, we tell you the reason and duration.
Suspension and termination never confiscate money: funded escrow is completed or refunded according to the sections on payments and disputes, and released creator balances remain payable, subject only to holds required by law or pending investigation. Sections of these Terms that by their nature should survive termination — including those on payments, escrow and fees; disputes between users; content and intellectual property; disclaimers; assumption of risk and release; indemnification; limitation of liability; and governing law — survive it.
17. Disclaimers
THE SERVICE, ALL PLATFORM DATA AND ALL AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLABGLAM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
CollabGlam does not warrant or guarantee: the conduct, quality, legality or solvency of any user; the truth of any campaign, profile or metric; campaign outcomes, audience reach, engagement, sales or return on investment; that content produced through the Service complies with law or platform rules; or that the Service will meet your requirements. No advice or information obtained from us or through the Service — including from the Glam assistant — creates any warranty not expressly stated in these Terms. We do not provide legal, tax or accounting advice.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
18. Assumption of risk and release
You understand that engaging counterparties you have not met, publishing sponsored content, and transacting across borders each carry inherent risk — including non-performance, unsatisfactory work, regulatory exposure and payment disputes. You use the Service at your own risk and you are solely responsible for evaluating every user, campaign and contract before engaging.
To the fullest extent permitted by law, you release CollabGlam and its officers, directors, employees and agents from any and all claims, demands, losses and damages of every kind, known or unknown, arising out of or in any way connected with a dispute between you and one or more other users, including disputes over campaigns, contracts, deliverables, payments outside escrow, usage rights or conduct. If you are a California resident, you expressly waive California Civil Code §1542 with respect to this release; if you reside elsewhere, you waive any equivalent protection.
19. Indemnification and hold harmless
To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless CollabGlam LLC and its officers, directors, employees, contractors and agents from and against any and all claims, actions, demands, investigations, liabilities, damages, losses, fines, penalties and expenses — including reasonable attorneys' fees — arising out of or related to:
- your User Content, campaigns, contracts, collaborations and deliverables;
- your breach of these Terms or of any incorporated policy;
- your violation of any law or regulation, including advertising and disclosure rules;
- your infringement of any third party's rights, including intellectual-property, privacy and publicity rights;
- your dealings or disputes with any other user; and
- your misuse of the Service or of Platform Data.
We may assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with that defence. You may not settle any such matter in a way that imposes obligations on CollabGlam without our prior written consent.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLABGLAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY — CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM AND SUBSCRIPTION FEES YOU PAID TO COLLABGLAM IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (US $100).
For clarity, amounts a brand funds into escrow are not fees paid to CollabGlam, and our obligations with respect to escrowed funds are limited to handling them as the sections on payments and disputes provide. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for gross negligence where such exclusion is not permitted. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. The limitations in this section are fundamental elements of the bargain between you and CollabGlam, and the Service would not be provided without them.
21. Governing law, venue and class action waiver
These Terms and any dispute between you and CollabGlam are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Any claim between you and CollabGlam that is not resolved informally will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you and CollabGlam each consent to their personal jurisdiction and waive objections to that venue. This section does not apply to escrow dispute resolution between users, which is handled under the section on disputes between users.
To the fullest extent permitted by law, you and CollabGlam each waive any right to a jury trial and agree that claims against the other may be brought only in an individual capacity — not as a plaintiff or class member in any purported class, consolidated or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim alone proceeds in court, and this section remains in effect for all other claims.
Any claim arising out of or related to the Service must be filed within one year after the claim arose, or it is permanently barred, except where the law does not permit that shortening.
22. Changes to these terms
We may update these Terms from time to time. When we make material changes we will announce them through the Service — including by asking you to accept the updated Terms before continuing to use your account — and update the effective date above. Non-material changes (such as clarifications or typographical corrections) may be made without a re-acceptance prompt. Continued use of the Service after the effective date of an updated version constitutes acceptance of it. Prior versions are archived, and the version you accepted can be produced on request.
23. Electronic communications and notices
You consent to receive communications from us electronically — by email to the address on your account and by notices within the Service — and agree that they satisfy any legal requirement that a communication be in writing. Transactional messages (sign-in codes, collaboration and payment notices) are part of operating the Service and cannot be opted out of while the account is open; marketing messages can always be opted out of.
Legal notices to CollabGlam must be sent to help@collabglam.com or by mail to CollabGlam LLC, 732 S 6th St STE N, Las Vegas, NV 89101, United States, and are effective on receipt.
24. Miscellaneous
Entire agreement. These Terms, together with the policies they incorporate and the records of your acceptance, are the entire agreement between you and CollabGlam about the Service, and supersede all prior discussions. They do not govern the contracts between brands and creators, which stand on their own.
Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force.
No waiver. Our failure to enforce a provision is not a waiver of it. A waiver is effective only in writing.
Assignment. You may not assign these Terms or your account without our prior written consent; any attempted assignment without it is void. We may assign these Terms in connection with a merger, acquisition or sale of assets, with notice to you.
Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including acts of third-party platforms and payment networks, outages, labour disputes, governmental action and natural events.
Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation".
